Payout Close Merchant Agreement

This Merchant Agreement (“Agreement”) is between Erythreia (“Developer”, “we”, “us”, or “our”) and the merchant installing or using the Payout Close Shopify app (“Merchant”, “you”, or “your”).
By installing, accessing, or using Payout Close, you agree to this Agreement.
1. Scope
Payout Close is a Shopify app designed to reconcile Shopify Payments payouts and generate merchant-downloadable payout close outputs, including files such as:
summary.jsonpayout-rollup.csvpending-transactions.csv
This Agreement governs your use of the app and Erythreia’s access to and processing of Merchant Data made available through Shopify for the operation of the app.
2. Developer responsibility
Erythreia is solely responsible for Payout Close, including:
- its development
- its operation
- its maintenance
- its support
- its handling of Merchant Data in connection with the app
Except where Shopify expressly states otherwise, Shopify is not responsible for Payout Close, cannot guarantee support for the app, and is not liable for faults in the app or harm resulting from its installation or use.
3. Merchant authorization
By installing Payout Close through Shopify’s consent flow, you authorize Erythreia to access and process the Merchant Data strictly necessary to provide the app’s services to your store.
You represent that you have authority to install and use the app for the relevant Shopify store.
4. Merchant Data accessed by the app
Depending on the app’s configuration and features, Payout Close may access and process the following categories of Merchant Data made available through Shopify:
- shop identifiers and shop domain
- order identifiers, references, timestamps, and order-linked financial data
- refund identifiers, refund timestamps, refund-linked transaction data
- order transaction identifiers, types, statuses, timestamps, amounts, fees, and net values
- Shopify Payments payout identifiers, statuses, issue dates, summaries, amounts, fees, and net values
- balance transaction data and payout associations
- app session data needed for authentication and operation
- webhook payloads required for app functionality or legal/privacy compliance
Payout Close is intentionally designed not to request or rely on direct protected customer identity fields such as:
- name
- phone
- billing address
- shipping address
unless and until a future feature makes that strictly necessary and the relevant disclosures and permissions are updated first.
5. Permitted use of Merchant Data
Erythreia will use Merchant Data only to:
- authenticate merchants and operate the app
- reconcile Shopify Payments payouts
- identify payout-linked and not-yet-linked transactions
- generate merchant-downloadable payout close outputs
- troubleshoot, support, and maintain the app
- protect app integrity and security
- comply with applicable law, Shopify requirements, and mandatory compliance webhook obligations
Erythreia will not use Merchant Data for unrelated advertising, resale, or cross-merchant profiling.
6. Disclosure to third parties
Erythreia may disclose Merchant Data only to service providers reasonably necessary to operate Payout Close, such as hosting, database, logging, monitoring, analytics-limited operational tooling, and support providers, and only under appropriate confidentiality and data protection obligations.
Erythreia may also disclose Merchant Data when required by law or to protect the rights, security, or integrity of the app, merchants, customers, or Shopify.

Erythreia’s privacy and data handling practices are described in the following documents, which form part of the overall merchant-facing data handling framework for the app:
8. Security and retention
Erythreia applies data minimization, retention limits, access controls, and security safeguards appropriate to the app’s processing model.
Merchant Data is retained only for as long as reasonably necessary to provide the app, support merchants, maintain security, and comply with legal obligations.
9. Fees and billing
Unless otherwise stated through Shopify’s billing flow or a future pricing page, Payout Close is not billed separately under this Agreement.
If paid billing is introduced in the future, charges will be disclosed through the applicable Shopify billing flow before activation.
10. Term and termination
This Agreement starts when you install or use Payout Close and continues until terminated.
You may terminate this Agreement at any time by uninstalling the app from your Shopify store.
Erythreia may suspend or terminate access to the app where reasonably necessary for maintenance, security, abuse prevention, legal compliance, or product discontinuation.
11. No exclusivity
This Agreement does not create exclusivity. It does not restrict your ability to use competing products or services, nor does it restrict your ability to conduct business freely, except as required to prevent unauthorized use of Erythreia’s confidential information or misuse of the app.
12. Disclaimer
To the maximum extent permitted by law, Payout Close is provided on an “as is” and “as available” basis. Erythreia does not guarantee uninterrupted availability, perfect accuracy, or fitness for a particular legal, accounting, or tax purpose. You remain responsible for reviewing outputs before relying on them in your business or accounting workflow.
13. Limitation of liability
To the maximum extent permitted by law, Erythreia will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity arising from use of the app.
Nothing in this Agreement excludes liability that cannot lawfully be excluded.
14. Changes
Erythreia may update this Agreement from time to time. Material updates will be reflected by updating the “Last updated” date. Continued use of the app after an update takes effect constitutes acceptance of the updated Agreement.
